Summary: We set up a private knowledge assistant for your business on your own accounts: it reads your documents, checks every page against the original, and answers your team's questions with the sources cited. We start with a paid trial on your own documents, then a full build, then optional ongoing support. You own your documents, the pages built from them and your settings. Once the build is paid for, you may keep running the version we delivered for as long as you like, with or without us. These terms explain the process, payments, confidentiality, how AI is used, and the limits of our responsibility.
These Terms of Service ("Terms") apply when you ("Client", "you") work with Regnor Knowledge ("we", "us"), a service of Flowcraft, based in Bangalore, Karnataka, India. They apply to clients worldwide. Your signed or accepted proposal sets out the specific scope, price and timeline, and forms part of these Terms.
We start with a paid trial on a limited set of your documents (usually 50). At the end, you see real, cited answers from your own files, and we agree in writing what a full build would cover.
Before the full build, we send a written proposal with the scope, the documents and sources covered, the timeline, the fees and any support plan. Work starts when you accept it in writing (email is enough) and pay any deposit.
We load and check your documents, set up people and access, and train your administrators. Handover is complete when:
You have 10 business days after handover to tell us about anything that does not match the proposal. We will fix it at no extra cost.
You own your documents, the pages and checking records built from them, your team's conversations, your settings, and your accounts. We claim no rights in them.
The software that runs your system, including its checking methods, belongs to Flowcraft. We grant you a licence to use it for your organisation's internal purposes:
We may reuse general skills and methods learned while working with you, but never your documents, content, confidential information or anything that identifies you.
Your documents and content, your business information, and the details of our proposal and pricing are confidential. So is anything either of us marks as confidential or that a reasonable person would treat as confidential.
Each of us will use the other's confidential information only for this engagement, protect it with at least reasonable care, and share it only with people who need it for the work and are bound by confidentiality.
Information that is already public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law (with prompt notice to the other party where allowed).
Our named staff access your system only during setup and while you have a support plan, only to do the work, and only through an account you can remove at any time. We do not copy your documents to our own systems. These obligations last for 3 years after the engagement ends, and for as long as the information remains confidential in the case of your documents and content.
Fees are set out in the proposal: a trial fee, a build fee, and any support plan fee. They are fixed for the agreed scope. The costs of your own hosting and AI model accounts are paid by you directly to those providers and are not part of our fees.
By bank transfer (SWIFT for international clients, NEFT or UPI in India). Details are on each invoice.
If an invoice is unpaid 14 days after its due date, we will send a reminder. After 30 days, we may pause work or support until it is paid, and charge interest of 1.5% a month or the highest rate the law allows, whichever is lower. Pausing support never switches off your system.
Fees exclude taxes. GST is added for clients in India. International clients are responsible for local taxes and duties; if tax must be withheld, the payment is increased so that we receive the full invoiced amount.
Changes within the agreed scope, such as adjusting how documents are organised or who can see what, are included. New sources, many more documents, or new features are quoted in writing first, and work on them starts only when you approve the quote.
Tell us within 30 days of handover. We will fix it at no cost or, if we cannot, refund the part of the fees that relates to it. This does not cover changes made by others after handover, or changes by third-party providers (such as an AI model provider changing or retiring a model).
Except as stated above, the software is provided as is. We do not promise error-free answers, particular business results, or the continued availability, pricing or behaviour of third-party providers.
Our total liability for any claim connected with these Terms is limited to the fees you paid us in the 12 months before the claim arose.
Neither of us is liable for indirect or consequential losses, such as lost profits, revenue, goodwill or data, or business interruption, even if they were foreseeable.
These limits do not apply to breaches of confidentiality, infringement of intellectual property, fraud or wilful misconduct, or your obligation to pay fees due.
Either of us may end a support plan with 30 days' written notice, or end a build in progress with 14 days' notice. You pay for work done up to the end date.
Either of us may end the engagement at once if the other seriously breaches these Terms and does not fix it within 14 days of written notice, or becomes insolvent.
If we end a build for convenience or fail to deliver, we refund fees paid for undelivered work. If you end a build for convenience, there is no refund for work already done, and nothing more to pay for work not done. Trial fees are not refundable once the trial has started.
Neither of us is responsible for delays caused by events beyond reasonable control, such as natural disasters, war, government action, or failures of internet, hosting or AI providers. If such an event lasts more than 30 days, either of us may end the engagement, with payment due for work done.
These Terms are governed by the laws of India.
We will first try to settle any dispute by talking. If that fails within 30 days, either of us may propose mediation. If the dispute is still unresolved 60 days after the first notice, it will be settled by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator seated in Bengaluru, in English. Either of us may still ask a court for urgent relief to prevent serious harm.
The proposal may agree a different governing law or arbitration seat. If it does not, Sections 14.1 and 14.2 apply.
